Nasdaq's $40 million offer for Facebook losses draws criticism

(Reuters) - Nasdaq OMX Group Inc said it will offer $40 million in cash and rebates to clients harmed by its mishandling of Facebook Inc's market debut.

But the proposed compensation, subject to approval by regulators, drew sharp criticism from rival exchanges for its use of rebates and from clients claiming losses far in excess of what Nasdaq is offering.

Nasdaq said on Wednesday $13.7 million would be paid to its affected member firms and the balance would be credited to members to reduce trading costs, with all benefits expected to be awarded within six months.

"We have been embarrassed and certainly we apologized to the industry, but the important thing we have to do is focus on the future," Nasdaq Chief Executive Robert Greifeld said in an interview on CNBC on Wednesday.

The idea of rebates drew the ire of other exchanges, which said it would essentially allow Nasdaq to undercut them on prices. Sources at Nasdaq rivals said that such a plan would force brokers to trade at Nasdaq, taking market share from competing exchanges.

"This is tantamount to forcing the industry to subsidize Nasdaq's missteps and would establish a harmful precedent that could have far reaching implications for the markets, investors and the public interest," NYSE Euronext, Nasdaq's main competitor, said in a statement Wednesday afternoon.

"We intend to strongly press our views that Nasdaq's proposal cannot be allowed to permit an unjust and anti-competitive situation."

Direct Edge, the No. 4 U.S. cash equities exchange by volume, said it has "several significant concerns with the Nasdaq remedy and plan(s) to aggressively voice them throughout the process."

The top four market makers in the $16 billion Facebook IPO - UBS, Citigroup, Knight Capital, and Citadel Securities - together lost upward of $115 million due to technical problems that prevented them from knowing for about two hours if their orders had gone through after Facebook began trading.

One of those firms, Knight Capital, said in a statement that it was "disappointed that Nasdaq's compensation fund does not come close to covering reported losses from broker-dealers. Their proposed solution to this problem is simply unacceptable." The statement also said that Knight is "evaluating all remedies available under law."

Smaller market makers that might have suffered losses would also receive a part of the $40 million Nasdaq proposes. Two senior executives in the financial industry have said they expect Nasdaq member claims to total $150 million to $200 million.

"Our expectation is that every firm will receive some measure of cash and that every firm will receive their full accommodation by year end if current trading patterns persist," Eric Noll, executive vice president for transaction services at Nasdaq OMX, said in a webcast to member firms.

Under the plan, investors who attempted to buy the company's shares at $42 or less, but whose orders were not executed, would be eligible for compensation. In addition, trades that were executed at an inferior price would also be eligible, as well as trades that did go through successfully but were not confirmed because of Nasdaq's technical problems.

A filing with the U.S. Securities and Exchange Commission is expected soon, and an executive from a rival exchange declined to comment until its publication.

FORMER SEC CHIEFS SPEAK OUT

"They clearly screwed up. They clearly owe their customers money," said former SEC Chairman Arthur Levitt. He declined to comment on whether the situation warranted an SEC investigation or fine.

Another former SEC chairman, Harvey Pitt, said the exchange deserved some praise for offering compensation but called $40 million too limited and Nasdaq's failures to live up to its self-regulatory responsibilities "a blunder of major proportions."

"The exchange's performance will likely be the subject of sharp criticism from the SEC," and "will hurt Nasdaq in its effort to corral additional listings and garner more U.S. IPOs," he said.

Nasdaq's Noll said the exchange is still engaged in a review process with the SEC. It is unclear how long that process will take or how long the SEC will take to decide if Nasdaq's proposal for compensation is adequate.

If the SEC finds any securities law violations, Nasdaq could be subject to fines, but any such outcome is likely a long way off, according to a person familiar with the SEC's operations.

Noll said that the factors that went into determining the $40 million figure included the exchange's liability cap of $3 million a month, Nasdaq's proceeds of $10.7 million from the Facebook IPO, and an estimated $7 million in revenue forecast over the next five years from Facebook trading and listing fees.

During the first day of Facebook trading, technical glitches left the market makers - who facilitate trades for brokers and are crucial to the smooth operation of stock trading - in the dark for hours as to which trades had gone through.

Nasdaq's immediate response amounted to a members-only call with one of its executive vice presidents and a statement that the exchange would set aside a pool of $13.7 million to accommodate losses.

The exchange has asked FINRA, which was responsible for analyzing what went wrong during the "flash crash" in 2010, to review client transaction and claims.

"They can go back and reconstruct every trade, every bid and ask movement to see where all the volume was," said Evan Rosser, former director of strategic programs for the enforcement department at FINRA, an independent regulator of U.S. securities firms.

Hospitals add palliative teams at feverish pace

FORT LAUDERDALE, Fla. (AP) ? Fighting stage-four ovarian cancer, Carol Delzatto has more doctor appointments than she cares to count. But this day, she is beaming as Dr. Pamela Sutton comes into sight, greeting her patient and calling her beautiful. Delzatto looks forward to her monthly meeting with the palliative care doctor, where she won't be pricked and won't be rushed, just listened to and offered help.

Hospitals across the country have been adding programs in palliative care ? which focuses on treating pain, minimizing side effects, coordinating care among doctors and ensuring the concerns of patients and their families are addressed ? at a feverish pace. The field has expanded so rapidly that a majority of American hospitals now have palliative programs, to the delight of patients who say they've finally found relief and a sympathetic ear.

Palliative care has its roots in the 1970s, but was slow to grow. Several pieces of research helped to advance the cause, though, showing widespread untreated pain in hospitals and nursing homes and the positive impact palliative programs had on such patients.

"She's not writing. She is just looking at me and listening and feeling," said Delzatto, 67, during her visit to Broward General Medical Center, where Sutton helped start the palliative care program more than a decade ago.

Dr. Diane Meier of Mount Sinai Medical Center in New York, who directs the Center to Advance Palliative Care, says one of the discipline's greatest benefits is that it looks at the patient as a whole.

"Patients see a different person for every single part of their body or every problem. The patient as a whole person gets lost," said Meier, who won a MacArthur fellowship for her palliative work. "The patient is a person, not a problem list, not a list of different organ systems with different problems, not a list of different diseases. So we end up serving in a quarterback role for the entire medical system."

In 2000, there were 658 palliative programs in hospitals, according to the Center to Advance Palliative Care, representing about one-quarter of American hospitals. By 2009, about 63 percent of hospitals had palliative teams, with a total of 1,568 programs recorded. The field is expected to continue growing as awareness and acceptance spreads, just in time to help baby boomers ? the 78 million Americans born between 1946 and 1964 ? as they move toward old age and begin developing more serious and life-threatening illnesses.

Though the programs and their scope vary widely, a common scenario might look like this: A patient is diagnosed with lung cancer, and a palliative care team's assistance is enlisted from the start, working alongside oncologists and other specialists. The palliative team may include doctors and nurses as well as a social worker and chaplain. Meier says resistance to palliative care tends to be generational, with many younger doctors embracing the field. Research on the subject has also helped prove its worth, particularly a 2010 study published in the New England Journal of Medicine.

That widely publicized report looked at terminal lung cancer patients and found patients who received palliative care as soon as they were diagnosed were in less pain, happier and more mobile than those who didn't receive such care, and the patients ultimately lived nearly three months longer.

Even with such scientific backing, and generally rave reviews from patients, even palliative care's most ardent backers admit it would not have spread as it has without showing cost savings to hospitals. Because a result of palliative care is shorter hospital stays, it can cut costs since many insurance plans pay a flat reimbursement for a treatment, not for the length of stay.

If a bed is freed up sooner, that means another paying customer can occupy it.

"By itself, better outcomes for patients would not be enough," Meier said. "In our society and current way of life, it is impossible to introduce any innovation whether it's surgery or drugs or any innovation if you can't show that it doesn't increase costs."

Broward General's adult and pediatric palliative teams saw more than 1,300 patients last year, but so far administrators have had trouble quantifying what the precise financial impact has been. Sutton and her colleagues have little doubt their work has resulted in fewer hospitalizations and shorter stays, but have found it hard to pinpoint the savings.

Sutton is focused this day on Delzatto, asking her about her sleep and bathroom patterns, and addressing her pain by writing prescriptions. Before seeing Sutton, the patient said she was suffering so greatly she was barely able to move. Hawaii, Alaska, eastern Australian and eastern Asia including Japan, North and South Korea and eastern China will get the whole show since the entire transit will happen during daylight in those regions.

In Hawaii, university astronomers planned viewings at Waikiki Beach, Pearl Harbor and Ko Olina. At Waikiki, officials planned to show webcasts as seen from telescopes from volcanoes Mauna Kea on the Big Island and Haleakala on Maui.

NASA planned a watch party at its Goddard Visitor Center in Maryland with solar telescopes, "Hubble-quality" images from its Solar Dynamics Observatory Mission and expert commentary and presentations.

Amateur astronomers from the University of North Texas planned to watch from points in Alaska and Hawaii to recreate the 1769 expedition of British Capt. James Cook to Tahiti, part of an effort to use the transit to measure the solar system.

They will use atomic clocks, GPS and high-end telescopes to take measurements, and will use high-end video gear to capture time-lapse video.

Experts from Hong Kong's Space Museum and local astronomical groups were organizing a viewing Wednesday outside the museum's building on the Kowloon waterfront overlooking the southern Chinese city's famed Victoria Harbor.

The transit begins there around 6 a.m. local time.

In South Korea, the transit coincides with a national holiday.

Choi Hyungbin, head of the Daejon Observatory, said he was expecting more visitors than might otherwise come out to watch the transit. Local media urged residents to visit observatories, reiterating the danger of looking directly at the sun.

This will be the seventh transit visible since German astronomer Johannes Kepler first predicted the phenomenon in the 17th century. Because of the shape and speed of Venus' orbit around the sun and its relationship to Earth's annual trip, transits occur in pairs separated by more than a century.

It's nowhere near as dramatic and awe-inspiring as a total solar eclipse, which sweeps a shadow across the Earth, but there will be six more of those this decade.
